It<\/span><span data-contrast=\"auto\">\u00a0includes the Anti-Money Laundering Act of 2020 (<\/span><span data-contrast=\"auto\">AMLA)<\/span><span data-contrast=\"auto\">. The AMLA in turn includes the<\/span><span data-contrast=\"auto\">\u00a0Corporate Transparency Act (<\/span><span data-contrast=\"auto\">CTA).<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">The AMLA\u00a0<\/span><span data-contrast=\"auto\">also\u00a0<\/span><span data-contrast=\"auto\">expands<\/span><span data-contrast=\"auto\">\u00a0another act known as<\/span><span data-contrast=\"auto\">\u00a0the Bank Secrecy Act (<\/span><span data-contrast=\"auto\">BSA)<\/span><span data-contrast=\"auto\">.<\/span><span data-ccp-props=\"{&quot;201341983&quot;:0,&quot;335559739&quot;:160,&quot;335559740&quot;:259}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">The<\/span><span data-contrast=\"auto\"> recent changes to the<\/span><span data-contrast=\"auto\">\u00a0BSA overhaul financial crime monitoring practices in the<\/span><span data-contrast=\"auto\">\u00a0United States<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">\u00a0AMLA\u00a0<\/span><span data-contrast=\"auto\">creates a closed and<\/span><span data-contrast=\"auto\">\u00a0secure central registry<\/span><span data-contrast=\"auto\">\u00a0that will track \u201cbeneficial ownership\u201d in companies\u00a0<\/span><span data-contrast=\"auto\">that a<\/span><span data-contrast=\"auto\">re formed or registered to do business in the US. The registry will be<\/span><span data-contrast=\"auto\"> administered by the Financial Crimes Enforcement Network (FinCEN).<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">While the system will remain closed to the public,\u00a0<\/span><span data-contrast=\"auto\">i<\/span><span data-contrast=\"auto\">nformation\u00a0<\/span><span data-contrast=\"auto\">collected<\/span><span data-contrast=\"auto\">\u00a0under the AMLA<\/span><span data-contrast=\"auto\">\u00a0and\u00a0<\/span><span data-contrast=\"auto\">the\u00a0<\/span><span data-contrast=\"auto\">CTA\u00a0<\/span><span data-contrast=\"auto\">can be accessed and used by<\/span><span data-contrast=\"auto\">\u00a0state law enforcement authorities and\u00a0<\/span><span data-contrast=\"auto\">by<\/span><span data-contrast=\"auto\">\u00a0\u201ca Federal agency engaged in national security, intelligence, or law enforcement activity<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">\u201d<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-ccp-props=\"{&quot;201341983&quot;:0,&quot;335559739&quot;:160,&quot;335559740&quot;:259}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">Theoretically<\/span><span data-contrast=\"auto\">,<\/span><span data-contrast=\"auto\">\u00a0the availability of this information to these agencies will help facilitate the investigation and prosecution of financial crimes, but it will also impose a burden on US businesses to register or risk<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">civil liability of\u00a0<\/span><span data-contrast=\"auto\">$500 per\u00a0<\/span><span data-contrast=\"auto\">day<\/span><span data-contrast=\"auto\">\u00a0that<\/span><span data-contrast=\"auto\">\u00a0the violation continues<\/span><span data-contrast=\"auto\">\u00a0with an aggregate limit of $250,000<\/span><span data-contrast=\"auto\">, as well as\u00a0<\/span><span data-contrast=\"auto\">a separate fine\u00a0<\/span><span data-contrast=\"auto\">for inaccurate disclosures\u00a0<\/span><span data-contrast=\"auto\">and\u00a0<\/span><span data-contrast=\"auto\">imprisonment of no more than two years.<\/span><span data-ccp-props=\"{&quot;201341983&quot;:0,&quot;335559739&quot;:160,&quot;335559740&quot;:259}\">\u00a0<\/span><\/p>\n<h3>How Does This Affect My Business?<\/h3>\n<p><span data-contrast=\"auto\">The registration requirements apply to\u00a0<\/span><span data-contrast=\"auto\">&#8220;reporting companies,&#8221;\u00a0<\/span><span data-contrast=\"auto\">which are<\/span><span data-contrast=\"auto\">\u00a0defined\u00a0<\/span><span data-contrast=\"auto\">to include<\/span><span data-contrast=\"auto\">\u00a0corporations, limited liability companies or similar entities,\u00a0<\/span><span data-contrast=\"auto\">and<\/span><span data-contrast=\"auto\">\u00a0foreign entities registered to do business in the United States.<\/span><span data-contrast=\"auto\">\u00a0The focus of the Act is on shell companies, so some typically larger institutions are exempt from registration<\/span><span data-contrast=\"auto\">:<\/span><span data-contrast=\"auto\">\u00a0for example<\/span><span data-contrast=\"auto\">,\u00a0<\/span><span data-contrast=\"auto\">c<\/span><span data-contrast=\"auto\">ompanies registered with the U<\/span><span data-contrast=\"auto\">nited States<\/span><span data-contrast=\"auto\">\u00a0Securities and Exchange Commission\u00a0<\/span><span data-contrast=\"auto\">(<\/span><span data-contrast=\"auto\">SEC<\/span><span data-contrast=\"auto\">)<\/span><span data-contrast=\"auto\">,<\/span><span data-contrast=\"auto\">\u00a0FDIC-insured financial institutions,\u00a0<\/span><span data-contrast=\"auto\">entities having a U<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">S<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">\u00a0physical location and employing more than\u00a0<\/span><span data-contrast=\"auto\">20\u00a0<\/span><span data-contrast=\"auto\">full-time employees in the U<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">S<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">, and entities operating from a U<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">S<\/span><span data-contrast=\"auto\">.<\/span><span data-contrast=\"auto\">\u00a0physical location<\/span><span data-contrast=\"auto\">\u00a0which have filed<\/span><span data-contrast=\"auto\">\u00a0taxes\u00a0<\/span><span data-contrast=\"auto\">evidencing\u00a0<\/span><span data-contrast=\"auto\">more than $5 million in gross receipts or sales<\/span><span data-contrast=\"auto\">. Many smaller companies, however, will be forced to file\u00a0<\/span><span data-contrast=\"auto\">under<\/span><span data-contrast=\"auto\">\u00a0the AMLA<\/span><span data-contrast=\"auto\">\u00a0and its\u00a0<\/span><span data-contrast=\"auto\">CTA<\/span><span data-contrast=\"auto\">.<\/span><span data-ccp-props=\"{&quot;201341983&quot;:0,&quot;335559739&quot;:160,&quot;335559740&quot;:259}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"auto\">Once regulations are released, a<\/span><span data-contrast=\"auto\">ny company that qualifies as a<\/span><span data-contrast=\"auto\">\u00a0\u201creporting company\u201d\u00a0<\/span><span data-contrast=\"auto\">and is not exempt\u00a0<\/span><span data-contrast=\"auto\">must disclose and update the names and information of all \u201cbeneficial owners<\/span><span data-contrast=\"auto\">,<\/span><span data-contrast=\"auto\">\u201d<\/span><span data-contrast=\"auto\">\u00a0defined as those who\u00a0<\/span><span data-contrast=\"auto\">&#8220;exercise substantial control&#8221;
